Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Adaba Global Limited ("Lectimax," "we," "our," or "us") concerning your access to and use of the Lectimax platform at lectimax.com (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We may modify these Terms from time to time. We will notify you of material changes via email or through a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Eligibility and Account Registration

Age Requirement

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old.

Account Creation

To access certain features of the Service, you must create an account by providing:

Full name
Email address
Password
User role (lecturer or student)
Optional: institutional affiliation

You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security of your password and account
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities under your account

Student Accounts

Student accounts may be used to access coursework, assignments, or related features when invited or assigned by a lecturer or institution. Students must comply with applicable academic-integrity rules and institutional policies.

Institutional and Organisation Accounts

If you use Lectimax through an institutional, department, or organisation workspace:

One account per authorized user; password sharing is prohibited
Your institution's administrator or coordinator may have access to usage data within that workspace
Your institution may set additional policies or restrictions
Account access may be revoked if you leave the institution or organisation

Description of Service

Lectimax is an AI-powered operating system for university teaching and research. The Service includes:

Connect handoffs between modules
Files library for your uploaded and generated artifacts
Shop for subscriptions and credit top-ups
Help & Ticketing for support

Teaching and Assessment

Cadence: course planning and weekly teaching workspace
Quest: question bank and quiz generation
Rubrica: rubric design and library
Gauge: AI-assisted assignment grading
Forge: project brief and assignment design studio
Acuity: cohort analytics and insights
Pulse: teaching portfolio and evidence

Research and Supervision

Thesis Examiner: thesis and proposal examination workflows
Journal Examiner: journal manuscript review workflows
Thesis Studio: thesis supervision, milestones, and co-supervision
JournalPal: research writing and manuscript tools

Other

LMSGen: LMS-oriented exports where available
Additional AI-assisted tools and features we may add from time to time

AI-assisted features run at your direction. Outputs are suggestions and drafts. You are responsible for reviewing them before use in teaching, assessment, or publication.

User Obligations and Acceptable Use

Permitted Uses

You may use the Service to:

Plan courses and generate teaching materials
Create rubrics, assignments, and assessments
Grade and provide feedback on student work
Supervise research and manage academic projects
Analyze cohort performance and document teaching practice
Streamline administrative tasks related to higher education

Prohibited Uses

You agree NOT to use the Service to:

Academic Dishonesty:

Complete or submit coursework on behalf of students in violation of academic-integrity rules
Facilitate cheating, plagiarism, or contract cheating
Circumvent institutional academic-integrity policies

Copyright and Intellectual Property Violations:

Upload copyrighted materials you do not have rights to use
Infringe on third-party intellectual property rights
Misrepresent AI-generated content where attribution or disclosure is required

Harmful or Illegal Content:

Upload illegal, harmful, abusive, or discriminatory content
Harass, threaten, or harm others
Distribute malware, viruses, or malicious code
Violate applicable laws or regulations

Service Abuse:

Reverse engineer, decompile, or disassemble any part of the Service
Scrape, data mine, or use automated tools to extract content without permission
Resell, white-label, or redistribute the Service without authorization
Share your account credentials with others
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service's operation
Bypass credit limits, storage quotas, tier gates, or other usage restrictions

Personal Data:

Process personal data you do not have authority to share, including student work without required consent

Commercial Restrictions:

Resell AI-generated content as a commercial product without significant transformation
Use the Service to operate a competing AI service
Extract or aggregate data for commercial purposes unrelated to your authorized use

Content Standards

When uploading content to the Service, you agree that:

You have the legal right to upload and process the content
The content does not violate any third-party rights
You will obtain necessary consents (for example, student consent for using their work)
You will comply with institutional policies and ethical guidelines

Intellectual Property Rights

Your Content

Ownership: You retain all ownership rights to content you upload to the Service ("User Content"), including course materials, assignments, rubrics, research documents, and theses.

License to Us: By uploading User Content, you grant Lectimax a limited, non-exclusive, royalty-free license to store, process, and display your User Content as necessary to provide the Service, including using AI to analyze and generate feedback at your direction.

Important: We do not claim ownership of your User Content. We do not use your uploads to train AI models or share them with other users.

AI-Generated Content

Ownership: You own content generated by the Service at your direction ("AI-Generated Content"), including lesson plans, rubrics, grading feedback, project briefs, examiner reports, and similar outputs.

Your Responsibility: You are responsible for reviewing AI-Generated Content for accuracy, fairness, and appropriateness before sharing it with students, colleagues, examiners, or publishers.

Lectimax Intellectual Property

The Service, including its design, code, features, branding, and underlying technology, is owned by Adaba Global Limited and protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or create derivative works of the Service
Remove or alter any proprietary notices
Use our trademarks or branding without permission

Payment Terms, Credits, and Storage

Pricing Plans

Lectimax offers multiple pricing tiers, including:

Free tier: limited features with usage caps
Paid tiers: subscription-based access with expanded features and credits
Team, department, and enterprise: pooled or custom arrangements where offered

Current pricing is available at lectimax.com/pricing and in the in-app Shop. We may modify pricing with at least 30 days' notice to existing subscribers where required.

Credits System

Certain features consume AI credits. Credits work as follows:

Non-transferable: Credits cannot be transferred to other accounts or users
Plan credits: Credits included with a subscription expire at the end of each billing period (monthly or annual) and are replaced by the next period's allowance if your subscription continues. Unused plan credits do not carry forward
Spend order: When you use credits, plan credits are consumed before separately purchased or protected balances
Purchased credits: Credits bought as top-ups remain available while your account is active and are not removed when a subscription renews or ends
Protected transition balance: Credits held before the plan-credit expiry policy took effect remain available while your account is active, as described in notices we sent at the time
Non-refundable: Unused credits are not refundable upon cancellation

We deduct credits when a feature successfully delivers its result. Failed runs may be refunded according to module rules. Current subscribers received at least 30 days' notice before plan-credit expiry enforcement; the notice states the effective date.

File Storage

Each plan includes a file storage allowance. Uploads to counted storage areas (including Files, certain module artifacts, and attachments as described in product help) count toward your quota. If you exceed your allowance, you may read, download, rename, and delete files, but you cannot add new bytes until you are under your cap or upgrade. We do not automatically delete your files when you downgrade.

Payment Processing

Payments are processed through Polar or Paystack, third-party payment processors. By making a payment, you also agree to the applicable processor's terms.

You authorize us to charge your payment method for:

Subscription fees (monthly or annual)
Credit purchases
Renewal fees unless you cancel before the renewal date

Billing and Renewal

Subscriptions automatically renew unless canceled at least 24 hours before the renewal date
Polar subscribers can cancel in Profile → Billing & subscription (two-step survey; optional one-time free-month retention offer, once per account)
Cancellation is scheduled at period end. You keep paid access until the current billing period ends
Paystack subscribers: contact support@lectimax.com to manage billing
Access to paid features ceases when your subscription expires

Refund Policy

All sales are final. We do not offer refunds for:

Subscription fees (monthly or annual)
Credit purchases
Partial billing periods
Dissatisfaction with AI-generated results

Exception: We may provide refunds at our sole discretion in cases of:

Service outages exceeding 72 consecutive hours
Billing errors or unauthorized charges
Technical issues preventing access to paid features

Price Changes

We may change pricing with 30 days' notice. Changes apply to new subscribers immediately and to existing subscribers upon next renewal. You may cancel before a price change takes effect.

Termination and Suspension

Your Right to Terminate

You may terminate your account at any time by emailing support@lectimax.com to request account deletion.

Upon termination:

Your account will be deactivated
Your data will be deleted within 30 days (see our Privacy Policy)
Subscription fees are non-refundable
Unused plan credits and unused paid features are forfeited; durable purchased credits are handled as described in your account notices and these Terms

Our Right to Terminate or Suspend

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms
We suspect fraudulent, abusive, or illegal activity
You fail to pay subscription fees
We receive legal orders requiring suspension
Your account poses security risks to the Service

We may also discontinue the Service entirely with 30 days' notice.

Effects of Termination

Upon termination by either party:

Your access to the Service ends
Your data will be deleted per our Privacy Policy
Provisions regarding intellectual property, limitations of liability, and dispute resolution survive termination

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim all warranties, including:

Accuracy: AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
Fitness for Purpose: The Service may not meet your specific requirements
Availability: Uninterrupted or error-free operation
Security: Complete security from unauthorized access or data breaches
Educational Outcomes: That use of the Service will improve student performance or educational results
Grading Accuracy: AI-generated grading suggestions are not guaranteed to be accurate or fair
Compliance: That AI-generated content complies with your institutional policies

Important for Academic Use:

Always review AI-generated grading and feedback before sharing with students
Verify AI-generated content for accuracy and appropriateness
Maintain human oversight of all academic assessments
Use the Service as a tool to augment, not replace, professional judgment

Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, LECTIMAX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE LESSER OF:

The amount you paid to Lectimax in the 12 months before the claim arose, OR
₦50,000 (Fifty Thousand Naira)

Excluded Damages

IN NO EVENT SHALL LECTIMAX BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Loss of research, academic work, or educational materials
Reputational harm or academic consequences
Errors in AI-generated grading or feedback
Student complaints or academic disputes
Service interruptions or data loss
Third-party claims arising from your use of the Service

Exceptions

Nothing in these Terms excludes liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded under Nigerian law

Academic Consequences

You acknowledge that:

You are solely responsible for all academic decisions and assessments
Lectimax is not liable for grading errors, student disputes, or academic integrity violations
You must exercise professional judgment when using AI-generated content
Final responsibility for academic assessment rests with you, not the Service

Indemnification

You agree to indemnify, defend, and hold harmless Lectimax, Adaba Global Limited, and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of third-party rights (intellectual property, privacy, etc.)
Content you upload to the Service
Your academic decisions based on AI-generated content
Disputes with students, colleagues, or institutions
Your violation of applicable laws or regulations

Data Protection and Privacy

Your use of the Service is governed by our Privacy Policy and Data Handling page, which are incorporated into these Terms by reference.

Key points:

We process your data only as necessary to provide the Service
We do not sell your personal information
You retain ownership of uploaded content; we do not use it to train AI models
We use category-based service providers for hosting, AI inference, payments, and email, as described in the Privacy Policy
Visit analytics use first-party logging with cookie consent (basic operational metrics always on; enriched metrics only if you accept cookies in the banner)
Data is deleted within 30 days of account termination, subject to legal retention requirements

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Jurisdiction

You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Nigeria, and you consent to the jurisdiction of such courts.

Dispute Resolution Process

Before filing any legal claim:

Good Faith Negotiation: We will attempt to resolve the dispute in good faith within 30 days
Formal Proceedings: If unresolved, either party may pursue legal remedies

Class Action Waiver

You agree to resolve disputes individually and waive any right to bring claims on a class or representative basis.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Data Handling page, constitute the entire agreement between you and Lectimax regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, or government actions.

Headings

Section headings are for convenience only and do not affect interpretation.

Notifications

We may provide notifications and communications via:

Email to your registered address
In-app notifications
Prominent notices on the Service

You consent to receive electronic communications, which satisfy any legal requirement for written notice.

Language

These Terms are provided in English. In case of any translation, the English version prevails.
